Licensed per seat
Your organization licenses a number of seats; each seat lets one member use the app, within the limits of your agreement.
Works offline
With the licensed release, the app will check its license with a signed, time-limited lease, so it keeps working without a network until the lease expires.
Your data stays yours
Projects are folders on your own disk. An expired license never deletes or locks your data.

Scope
This agreement covers the Exona desktop app for single-cell RNA-seq analysis and the compute plugins Exona provides for it (the software). It is between [TO CONFIRM: registered company name] and the organization that licenses the software; its members use the software under it.
License grant
Exona grants your organization a non-exclusive, non-transferable license to install and use the software for the seats and the period in its agreement. Each seat is used by one member, on the devices the agreement allows.
License checks
License checks arrive with the licensed release of the software. From then on, you will sign in to the app once through your browser, and the software will validate its license with time-limited leases signed by Exona and verified on your computer. It will keep working offline until the current lease expires and renew the lease when it can reach exona.bio. A network or server failure will never end a valid lease.
Your data
Your datasets and results stay on your computer, or on a server you choose through a compute plugin. License checks never send dataset content or metadata to Exona. When a license expires or a seat is removed, your data is never deleted or locked: your projects stay in their folders on your disk.
Restrictions
Unless the law allows it, you may not copy the software beyond what the license allows, modify, decompile or reverse engineer it, remove its notices, or rent, sell or redistribute it.
Updates and plugins
Exona may provide updates to the software. Custom compute plugins are delivered as versioned releases available only to your organization.
Third-party components
The software installs and uses open-source components, such as R, Python and Seurat, each under its own license, which applies to that component.
Term and termination
The license lasts for the period in your organization's agreement. It ends when that agreement ends or after a serious breach of this one; the software then stops renewing its lease, and your data stays yours.
